Which Way is the Right One for my Startup?
Employee share ownership is used by start-ups and growth companies to attract and retain employees in the long term. In addition to traditional bonus payments or virtual shares, the granting of “real” shares in the company can also be considered. Experience has shown that this plays a role, especially when co-founders or important C-level employees are taken on later. From a tax perspective, the granting of “real” shares is associated with pitfalls: This can result in so-called “dry incomes” for employees, i.e. taxes have to be paid even though no money has (yet) flowed from the shareholding. Against this background, a “reform of employee participation” (#ESOPasap) was introduced at the beginning of the year. During the workshop, we will discuss in detail what this legal reform means for start-ups.
Agenda
- Brief overview of the various forms of employee participation and their respective tax consequences
- The “new” Section 19a EStG in detail: Basic principles, requirements and implementation issues as well as planned additions through the Annual Tax Act 2024
- Governance in connection with Section 19a EStG shares (in particular with regard to the voting rights associated with the shares)
Target group & conditions
Compact, entertaining sessions, in a small group, a protected space: the FSA ACADEMY sessions take place in a special atmosphere exclusively for female founders.
During the break, there will be time to chat in a relaxed atmosphere over delicious drinks and snacks. Thanks to special funding from the Hamburg Ministry of Economics and Innovation (BWI) and the Hamburgische Investitions- und Förderbank (IFB), the FSA ACADEMY offers are free of charge for all participants*.
All FSA ACADEMY workshops are designed for female founders of all stages. All levels are welcome
