Here’s what it’s all about

When you start a startup, you issue shares early on (to family, friends, and business angels)—often long before the first professional funding round takes place. However, once an institutional investor enters the picture, the cap table becomes a central component of any financing.
In this workshop, you’ll learn the most important basics about ownership structures and cap tables. We’ll look at how ownership stakes change through funding rounds, what dilution actually means, and why investors pay very close attention to the existing shareholder structure.

What can you expect?

Using simple examples and working through calculations together, we’ll make the basic logic of a cap table easy to understand and follow.

Among other things, we’ll explore

  • how new investments affect existing equity positions,
  • which early decisions can influence later funding rounds,
  • and what common mistakes founders should avoid when structuring their equity structure.

The Speakers

Leonard Keck, Junior Investment Manager at IFB Innovationsstarter

Leonard supports startups from the initial due diligence phase through to investment and subsequent portfolio management. In this role, he oversees his own investment processes, regularly analyzes cap tables, equity structures, and financing terms, and is building his own startup portfolio.

Previously, he gained experience in strategy and IT transformation, as well as in transactions within the consulting and family office sectors.

Justus Ribbe, Investment Manager at IFB Innovationsstarter

Justus is responsible for both deal flow and specific investments in emerging startups in the Hamburg area, from the (pre-)seed to the Series A stage.

With his extensive background in M&A and strategy consulting, as well as 1.5 years of experience in venture capital, Justus brings in-depth expertise in structuring and executing investments.

Target Audience

People interested in starting a business and early-stage founders who have little or no experience with startup funding rounds. No prior knowledge of venture capital or cap tables is required—just common sense.
